These Terms of Service (“Terms”) govern your use of the websites at blocsinc.io, including any subpages and preview sites (the “Site”), and any services provided by Blocsinc LLC, a (“Blocsinc,” “we,” “us,” or “our”).
Please read these Terms carefully. Section 15 contains a binding arbitration agreement and a class action waiver that affect how disputes are resolved.
1. Acceptance of These Terms
By accessing or using the Site, submitting a form, or engaging Blocsinc for services, you agree to these Terms and to our Privacy Policy and Cookie Policy. If you are using the Site or services on behalf of a company or other organization, you confirm that you have authority to bind that organization, and “you” includes that organization.
If you do not agree, please do not use the Site or our services.
2. Client Agreements Take Priority
Paid work is performed under a separate written agreement, such as a Master Services Agreement, Statement of Work, proposal, or signed engagement letter (each, a “Client Agreement”). If a Client Agreement conflicts with these Terms, the Client Agreement controls for that engagement. These Terms apply to everything the Client Agreement does not address.
3. Our Services
Blocsinc is a product marketing launch and GTM marketing agency. Our services may include marketing strategy, fractional marketing leadership (fractional CMO), brand positioning and messaging, go-to-market strategy, product launch planning and execution, channel and event marketing, demand and lead generation, content strategy and development, campaigns, brand experience and design, video production, web design and development, conversion optimization, and related consulting (the “Services”).
The specific scope, deliverables, timelines, and fees for any engagement are defined only in the applicable Client Agreement. Descriptions on the Site are general information, not a binding offer, and we may change them at any time.
Marketing is not a guarantee. Results depend on many factors outside our control, including your product, pricing, market conditions, competitors, platform algorithms, and your team’s execution. We do not guarantee any particular outcome, such as revenue, leads, pipeline, rankings, traffic, conversions, adoption, funding, or awards. Any examples, case studies, or past results describe specific situations and are not a promise of future results.
We are not your lawyer, accountant, or regulatory advisor. Our Services do not include legal, tax, financial, investment, medical, or regulatory advice. You are responsible for having your own qualified advisors review claims, disclosures, and regulatory requirements, including those that apply to health technology, financial technology, digital assets, and AI products.
4. Use of the Site
You may use the Site for lawful purposes only. You agree not to:
- copy, scrape, or republish Site content except as allowed by law or with our written permission;
- interfere with the Site’s security or operation, or introduce malware;
- attempt to access accounts, systems, or data you are not authorized to access;
- use the Site to send spam or to submit false, misleading, or infringing information; or
- use the Site in violation of any applicable law.
We may suspend or restrict access to the Site at any time, for any reason, without notice.
5. Client Responsibilities
When you engage us, you agree to:
- Provide accurate, timely input, including information, approvals, feedback, brand assets, and access to systems we need. Delays in your input may delay deliverables and timelines, and may affect fees as described in your Client Agreement.
- Own or have rights to what you give us. You confirm that any content, logos, trademarks, images, data, software, or other materials you provide (“Client Materials”) are yours or properly licensed, and that our use of them as directed by you will not infringe anyone’s rights or break any law.
- Review and approve. You are responsible for reviewing all deliverables before publication or use, including verifying the accuracy of product claims, statistics, testimonials, endorsements, pricing, and legal or regulatory disclosures. Once you approve or publish a deliverable, you are responsible for its use.
- Comply with laws that apply to your business, including advertising, consumer protection, privacy, email and text marketing (for example, CAN-SPAM and TCPA), accessibility, and industry-specific rules.
- Handle personal data lawfully. If you share customer or prospect data with us, you are responsible for having a lawful basis and any required notices and consents. We will not knowingly accept protected health information, payment card data, or other highly sensitive data unless a separate written agreement covers it.
- Keep credentials safe. If you give us access to your accounts (for example, your CMS, hosting, ad platforms, or analytics), you remain the account owner and are responsible for your accounts, billing with third-party platforms, and removing our access when the engagement ends.
6. Intellectual Property
Our Site. The Site and its content, including text, graphics, logos, design, and code, are owned by Blocsinc or our licensors and are protected by intellectual property laws. “Blocsinc,” our logos, and our framework names (including Launch-to-Loyalty™) are our trademarks. You may not use them without our written permission.
Client Materials. You keep ownership of your Client Materials. You grant us a non-exclusive, royalty-free license to use them as needed to perform the Services.
Deliverables. Unless your Client Agreement says otherwise, once you have paid all fees owed for a deliverable, you own the final deliverables we create specifically for you, excluding the Blocsinc Materials described below.
Blocsinc Materials. We keep ownership of our pre-existing and independently developed know-how, methods, frameworks, templates, processes, tools, code libraries, and general skills and knowledge (“Blocsinc Materials”), even if they are used in or improved during your project. To the extent Blocsinc Materials are built into your deliverables, we grant you a non-exclusive, perpetual license to use them as part of those deliverables.
Third-party components. Deliverables may include third-party items such as stock images, fonts, music, plugins, themes, software, or AI-generated elements. These are subject to their own license terms, which you agree to follow. We do not transfer ownership of third-party components, and certain licenses or subscriptions may need to be held and paid for by you.
Drafts and unused concepts. Unless agreed otherwise in writing, drafts, alternative concepts, and work not selected or paid for remain ours.
7. Use of AI Tools
We may use artificial intelligence tools to help research, draft, design, edit, or produce work (for example, AI-assisted video, avatars, translation, or voice). Our team reviews and directs this work. You agree that (a) intellectual property protection for AI-assisted content may be limited under current law, and (b) you are responsible for final review of deliverables before use. If you require that no AI tools be used, or that certain AI tools be avoided, please say so in writing in your Client Agreement.
8. Portfolio, Case Studies, and Testimonials
Portfolio. Unless your Client Agreement says otherwise or you tell us in writing that you object, you allow us to identify you as a client and to display your name, logo, and examples of non-confidential work we created for you in our portfolio, website, proposals, social media, and other promotional materials. We will not disclose your confidential information.
Case studies. We will ask for your approval before publishing a detailed case study that describes your business, results, or quotes from your team.
Testimonials. Testimonials on the Site reflect the real experiences and opinions of the people who gave them. They are individual experiences and are not a guarantee that you will get the same results. We publish testimonials with permission and do not pay for them unless we clearly disclose that.
If you would like your name, logo, work, or testimonial removed from our Site, email info@blocsinc.io and we will remove it within a reasonable time. We cannot recall materials already printed or distributed.
9. Fees and Payment
Fees, payment schedules, expenses, and late-payment terms are set out in your Client Agreement. Unless your Client Agreement says otherwise:
- invoices are due within [NUMBER] days of the invoice date;
- fees do not include taxes, third-party costs (such as ad spend, software subscriptions, hosting, stock licenses, printing, or event costs), or pre-approved travel, which are billed separately or paid directly by you;
- we may pause work if an invoice is more than [NUMBER] days overdue, after giving you written notice; and
- deposits and retainers are non-refundable once work has started, except as required by law or stated in your Client Agreement.
Ownership of deliverables transfers only after full payment, as described in Section 6.
10. Confidentiality
Each party may receive non-public business information from the other. Each party will use the other’s confidential information only for the engagement and protect it with reasonable care. This does not apply to information that is public through no fault of the receiving party, already known to it, independently developed, or lawfully received from someone else, or that must be disclosed by law (with notice to the other party where legally allowed). Please do not send us confidential information through Site contact forms; any information submitted through the Site before a Client Agreement or NDA is signed is not treated as confidential, except as described in our Privacy Policy.
11. Third-Party Links and Platforms
The Site and our deliverables may link to or rely on third-party websites, platforms, and services (for example, hosting providers, content management systems, social networks, ad platforms, and analytics tools). We do not control them and are not responsible for their content, availability, policy changes, account suspensions, outages, or practices. Your use of them is governed by their terms.
12. Disclaimer of Warranties
To the fullest extent permitted by law, the Site and all content on it are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that any content is complete or current.
Any warranties for the Services are only those expressly stated in your Client Agreement. Except as stated there, the Services are provided without other warranties, and we do not warrant that websites or other digital deliverables will be free of all bugs, compatible with every device or browser, or unaffected by later changes to third-party software, plugins, or platforms.
13. Limitation of Liability
To the fullest extent permitted by law:
- No indirect damages. Blocsinc and its owners, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill, even if we were told such damages were possible.
- Cap on liability. Our total liability for all claims relating to the Site, these Terms, or the Services will not exceed the greater of (a) the fees you paid to Blocsinc for the specific Services giving rise to the claim during the twelve (12) months before the event that caused the claim, or (b) one hundred U.S. dollars (US $100).
These limits apply to every legal theory, including contract, tort (including negligence), and statute, and they apply even if a remedy fails of its essential purpose. They do not limit liability that cannot be limited under applicable law, such as liability for fraud or for gross negligence or willful misconduct where the law prohibits limiting it.
14. Indemnification
You agree to defend, indemnify, and hold harmless Blocsinc and its owners, employees, contractors, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:
- your Client Materials, or our use of them as you directed;
- the content, claims, products, or services you publish, sell, or promote, including content you approved;
- your violation of these Terms, a Client Agreement, or any law or third-party right; or
- your misuse of the Site.
We will notify you of any claim for which we seek indemnification, and you may control the defense with counsel reasonably acceptable to us. You may not settle a claim in a way that imposes obligations on us without our written consent.
15. Dispute Resolution, Arbitration, and Class Action Waiver
15.1 Talk to us first. Before starting any formal proceeding, you agree to email info@blocsinc.io with a description of the dispute and give us at least thirty (30) days to try to resolve it informally. We will do the same.
15.2 Binding arbitration. If the dispute is not resolved informally, you and Blocsinc agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services will be resolved by final and binding arbitration, rather than in court, except as stated in Section 15.4. The arbitration will be administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules (or, if you are an individual using the Site for personal purposes, its Consumer Arbitration Rules), before a single arbitrator. The arbitration will take place in Boston, Massachusetts, or by video conference if both parties agree. The arbitrator may award the same individual relief a court could award, and judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this Section 15.
15.3 Class action waiver. To the extent permitted by law, you and Blocsinc each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not combine more than one party’s claims and may not preside over any form of class or representative proceeding. If this class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be decided in court under Section 16, not in arbitration.
15.4 Exceptions. Either party may (a) bring an individual claim in small claims court if it qualifies, and (b) seek a temporary restraining order, injunction, or other equitable relief in court to protect intellectual property or confidential information.
15.5 Client Agreements. If your Client Agreement contains a different dispute resolution clause, that clause controls for disputes about that engagement.
15.6 Opt-out. You may opt out of arbitration (Section 15.2) within thirty (30) days after first accepting these Terms by emailing info@blocsinc.io with the subject line “Arbitration Opt-Out” and your name and contact details. Opting out does not affect any other part of these Terms.
15.7 Time limit. To the extent permitted by law, any claim must be brought within one (1) year after it arises, or it is permanently barred.
16. Governing Law and Venue
These Terms and any dispute relating to the Site or Services are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws rules, and by applicable U.S. federal law. Subject to Section 15, any action that is permitted to proceed in court must be brought exclusively in the state courts located in Suffolk County, Massachusetts, or the United States District Court for the District of Massachusetts, and you and Blocsinc consent to the personal jurisdiction of those courts.
17. Termination
We may suspend or end your access to the Site at any time. Termination of paid engagements is governed by your Client Agreement. If your Client Agreement is silent, either party may end an engagement with [NUMBER] days’ written notice, and you will pay for all Services performed and non-cancellable expenses incurred through the termination date. Sections that by their nature should survive termination (including intellectual property, confidentiality, payment obligations, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law) will survive.
18. Independent Contractor; Non-Solicitation
Blocsinc is an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship. Fractional leadership roles (such as fractional CMO) are provided as a service; our team members are not your employees or officers, unless a separate written agreement says so. During an engagement and for 2 years after it ends, you agree not to directly hire or engage any Blocsinc employee or contractor who worked on your account without our written consent, except through general job postings not targeted at our team.
19. Changes to These Terms
We may update these Terms from time to time. We will post the updated version on this page and change the “Last updated” date. If changes are material, we will make reasonable efforts to provide notice, such as a notice on the Site. Changes apply going forward and will not apply to disputes that arose before the change. Your continued use of the Site after changes take effect means you accept the updated Terms. Changes to these Terms do not change a signed Client Agreement unless both parties agree in writing.
20. General Terms
- Severability. If any part of these Terms is found invalid or unenforceable, that part will be enforced to the maximum extent possible, and the rest will remain in full effect.
- No waiver. Our failure to enforce any part of these Terms is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is responsible for delays caused by events beyond its reasonable control, such as natural disasters, outages of third-party platforms, internet failures, labor disputes, or government actions (this does not excuse payment obligations).
- Entire agreement. These Terms, together with our Privacy Policy, Cookie Policy, and any Client Agreement, are the entire agreement between you and Blocsinc about their subject matter.
- Notices. We may send notices to the email address you give us. You may send notices to info@blocsinc.io, with a copy by mail to the address below for formal legal notices.
